Is a fully qualified lawyer (preferably member of the Bucharest Bar Association) with an overall minimum of 4 to 5 years’ experience;
Associate or potentially senior associate with significant experience gained in real estate development/constructions and real estate transactions within a reputable law firm or a first ranking real estate developer;
- Has a good command of the English language and computer skills (MS Office);
Is solution and deadline oriented, logical and equally persuasive, skilled to work independently as well as part of a team;
Has strong verbal and written communication skills and the ability to convey complex information in a way that others can readily follow and understand;
Has the ability to develop solid and harmonious working relationships, able to deliver results in a constantly demanding environment;
- Providing tailor made advice and document review, interacting with all group departments. Approving draft agreements generated internally or submitted by third party providers and follows up execution of such agreements, offering internal support until the agreements are duly executed;
- Conducting and coordinating research on a wide range of legal issues pertaining to real estate development and constructions.;
Supporting all stages of the contract negotiation process, from the initial request-for-proposal through signing and closing. Drafting, reviewing, assisting in negotiation and updating all type of commercial and civil contracts/agreements, conventions, protocols, additional acts and annexes to each of them: designing, architectural and technical consulting, works contractor, works execution, work assembly, installation, utilities supplying, services provision, equipment rental, materials and products supplying, lease, sale-purchase, exchange, loan, assignment, novation, mandate, consultancy, property management, sponsorship, partnership, cooperation, copyright transfer, brokerage, commission, confidentiality, head of terms, etc.;
Drafting a variety of legal documents: memos, legal opinions, notices, notifications, statements, demands, responses, objections, complaints, powers of attorney, comments, viewpoints, summaries, reports, records, etc.;
Providing legal assistance and support in drawing up views, objections, or responses to external legal correspondence with court bailiffs, banking financial institutions, local and central public authorities, private companies, any other third party;
Receiving, registering and sending legal correspondence and other auxiliary works, necessary for the proper conduct of the legal activity, following and managing the flow of legal documents;
Ensuring uploading of legal documents (suppliers) on the servers / online platforms dedicated to the group companies and assures maintenance of the centralized books and records related to group contracts.
Support the performance of existing contracts by interpreting and ensuring compliance with contract provisions.
Identify and mitigate all business and legal risks in prospective and existing contracts and ensure the necessary internal approvals from management have been obtained.
Perform contract negotiations directly with customers and suppliers and support legal management and leadership during higher-level negotiations.
Provide revisions/responses for contracts during the negotiation process and assist in regulatory matters related to real estate development including legal assistance in relation to local and central authorities.
Ensure compliance with group legal practices.
- Provide independent analysis of business/contract issues to support decision making.
Coordinate contractual review with the appropriate cross-functional leadership in a variety of areas, such as tax, engineering, compliance, insurance, and human resources.
